1. Acceptance of Terms

By accessing or using Faya (including tryfaya.com and the Faya Chrome Extension), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Faya AI LLC.

You must be at least 18 years of age to use Faya. By using the Service, you represent and warrant that you meet this age requirement. If you do not agree to these Terms, you may not access or use the Service.

Faya reserves the right to update these Terms at any time. For material changes, we will provide at least 14 days' notice via email before the changes take effect, consistent with our Privacy Policy. Non-material changes are effective upon posting. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

Faya is an AI-powered financial intelligence tool that provides information, analysis, benchmarking, and recommendations to help users make more informed financial decisions.

3. User Accounts

• Account security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• Accurate information: You agree to provide accurate, current, and complete information when creating your account and using the Service.
• One account per person: You may only maintain one account. Creating multiple accounts to circumvent plan limits is prohibited.
• Unauthorized access: You must notify us immediately at hello@tryfaya.com if you suspect unauthorized use of your account.
• Account termination: You may delete your account at any time. We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use Faya only for lawful purposes. You may NOT:

• Use the Service for any illegal purpose or in violation of applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the source code of Faya's software
• Share your account credentials with any other person or allow others to access your account
• Use automated tools, bots, scrapers, or scripts to access or extract data from Faya
• Misrepresent your identity, financial information, or affiliation with any person or organization
• Interfere with or disrupt the integrity or performance of the Service or its related systems
• Attempt to gain unauthorized access to any portion of the Service or related systems
• Use the Service to transmit any malicious code, viruses, or harmful data
• Resell, sublicense, or commercialize access to the Service without written permission

6. Intellectual Property

The Faya platform, brand, logo, software, website design, and underlying technology are owned by Faya AI LLC and are protected by copyright, trademark, and other intellectual property laws. You may not use Faya's name, logo, or branding without prior written consent.

Your profile data and the financial information you input into Faya belong to you. You grant Faya a limited, non-exclusive license to process this information to provide the Service to you and, in de-identified or aggregate form, to improve Faya's features and user experience, consistent with our Privacy Policy.

AI-generated analysis and outputs provided by Faya are licensed to you for personal, non-commercial use only. You may not resell, publish, or distribute AI outputs from Faya without written permission.

7. Payment Terms

Faya offers a free tier and paid subscription plans. For paid plans:

• Billing: Subscriptions automatically renew monthly until cancelled. You will be billed in advance on your billing date for each renewal term.
• Cancellation: You may cancel your subscription at any time from your dashboard or by emailing hello@tryfaya.com. Cancellations take effect at the end of the current billing period, and you will retain access through that date. No partial-month refunds are issued.
• EU/UK right of withdrawal: If you are a consumer in the EU or UK, you have the right to cancel your purchase within 14 days of starting your subscription without giving any reason, for a full refund of any unused time. By subscribing and choosing to access Faya immediately, you acknowledge that you may lose this right once the Service has been fully performed within that 14-day period; otherwise, you may request a pro-rated refund for the unused portion of the withdrawal period.
• Price changes: We will provide at least 30 days' advance notice of any price changes via email.
• Payment processing: Payments are processed securely by Stripe. Faya does not store your credit card information. Stripe's terms apply to payment processing.
• Failed payments: If a payment fails, your account will be downgraded to the free tier until payment is resolved.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Faya's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid to Faya in the three (3) months immediately preceding the claim.
• Faya is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or financial losses, even if Faya has been advised of the possibility of such damages.
• Faya is not liable for service interruptions, downtime, or data loss caused by third-party providers including Clerk, Anthropic, Supabase, or Vercel.
• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

By you: You may stop using the Service and delete your account at any time. To delete your account and all associated data, email hello@tryfaya.com. Your data will be deleted without undue delay, typically within 30 days.

By Faya: We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide notice where reasonably possible.

Upon termination, your right to use the Service ceases immediately. Sections 5 (Financial Disclaimer), 6 (Intellectual Property), 8 (Limitation of Liability), and 10 (Governing Law) survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.

EU/UK Consumers: If you are a consumer resident in the European Union or United Kingdom, the binding arbitration and class action waiver provisions above do not limit any mandatory consumer protection rights you have under the laws of your country of residence, including your right to bring a claim before the courts of your home jurisdiction.
